Terms of Service

These Terms of Service ("Terms") govern your access to and use of EasyQuo's websites, web application, APIs, and related services (collectively, the "Service"). The Service is operated by EasyQuo ("EasyQuo", "we", "us", or "our"). By creating an account, clicking to accept these Terms, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 18 years old and have authority to bind the business or organisation on whose behalf you register. You represent that the information you provide is accurate and that you will keep it up to date. You are responsible for all activity under your account and for safeguarding your login credentials.

2. What EasyQuo provides

EasyQuo is a cloud-based business tool aimed primarily at small and medium enterprises, including features such as quotes and estimates, customer records, invoicing-related workflows, reminders and automation, and integrations we may offer from time to time. Features may vary by plan. We may modify, add, or discontinue features with reasonable notice where practicable; we do not guarantee uninterrupted or error-free operation.

The Service is not legal, tax, or accounting advice. You remain solely responsible for compliance with applicable laws (including tax and VAT rules), the accuracy of documents you issue, and your relationships with your own customers and suppliers.

3. Accounts and workspaces

Access is through user accounts associated with a business or workspace ("Business"). You may invite or authorise other users as permitted by the product. You are responsible for the actions of users you invite and for configuring roles and permissions appropriately.

4. Trials, subscriptions, and payment

We may offer a free trial or other promotional access on the terms stated at signup or on our pricing page. When you subscribe to a paid plan, you authorise us and our payment partners to charge the payment method you provide according to the plan, billing cycle, and taxes applicable to your transaction.

Subscription fees are generally billed in advance. Unless we state otherwise or applicable law requires, fees are non-refundable. We may change plan prices or introduce new fees with reasonable advance notice; continued use after the effective date may constitute acceptance. If payment fails, we may suspend or downgrade access until payment is resolved.

Payment processing (including card validation where we use it) may be handled by third-party providers such as Paystack. Their terms and privacy practices apply to payment transactions they process.

5. Your content and data

You retain ownership of information, files, and materials you or your users submit to the Service ("Your Content"), including business details, customer and contact data, quote and invoice content, message templates, and attachments. You grant EasyQuo a non-exclusive, worldwide licence to host, store, process, transmit, display, and otherwise use Your Content only as reasonably necessary to provide, secure, improve, and support the Service and as described in our Privacy Policy.

You warrant that you have all rights and consents needed to submit Your Content and to use the Service in relation to your customers and contacts, including compliance with privacy and direct-marketing laws (such as POPIA and applicable consumer protection rules). You must not upload unlawful, defamatory, or infringing content or use the Service to harass or mislead anyone.

6. Acceptable use

You agree not to:

  • Violate any law or third-party rights
  • Probe, scan, or test the vulnerability of our systems, or bypass security or access controls
  • Interfere with the Service or other users (including excessive or abusive API use, denial-of-service style behaviour, or distribution of malware)
  • Use the Service to send unsolicited bulk communications without proper consent and lawful basis
  • Reverse engineer, decompile, or attempt to extract source code from the Service except where applicable law expressly permits
  • Resell or sublicense the Service without our written agreement

We may investigate suspected violations and cooperate with law enforcement. We may remove content or suspend access where we reasonably believe these Terms or the law have been breached.

7. Third-party services

The Service may integrate with or link to third-party products (for example payment, email, or hosting providers). Those services are governed by their own terms. EasyQuo is not responsible for third-party services or for downtime or loss arising from them.

8. Intellectual property

The Service, including software, branding, documentation, and our content (excluding Your Content), is owned by EasyQuo or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.

9. Confidentiality and feedback

If we share non-public information about the Service with you, you must keep it confidential. If you send us ideas or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use them to improve the Service without obligation to you.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EASYQUO AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO EASYQUO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) WHERE NO FEES WERE PAID IN THAT PERIOD, FIVE HUNDRED SOUTH AFRICAN RAND (ZAR 500). NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (INCLUDING GROSS NEGLIGENCE OR WILFUL MISCONDUCT WHERE THE LAW DOES NOT PERMIT LIMITATION).

12. Indemnity

You will defend, indemnify, and hold harmless EasyQuo and its affiliates and personnel from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

13. Suspension and termination

You may stop using the Service and, where the product allows, cancel your subscription according to in-app or pricing-page instructions. We may suspend or terminate access if you materially breach these Terms, if we are required to do so by law, or if continued provision is not commercially or technically viable (with notice where reasonable).

After termination, we may delete Your Content after any backup or export period we communicate. Provisions that by their nature should survive (including ownership, confidentiality, disclaimers, limitations, indemnity, and governing law) will survive termination.

14. Privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of your agreement with us where applicable.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Subject to mandatory consumer or other protections that cannot be contractually waived, the courts of South Africa have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.

16. General

These Terms constitute the entire agreement between you and EasyQuo regarding the Service and supersede prior understandings on the same subject. If any provision is held invalid, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the "Last updated" date. Where changes are material, we will provide additional notice (for example by email or in-product notice). Continued use after the effective date of updates constitutes acceptance unless applicable law requires a different process.
